金控業以「限制員工權利新股」做為員工獎酬工具,第一家為開發金(2883),中信金為第2家。中信金日前股東會通過將發行9萬張,今日董事會通過實際只發行8萬7,085張,增資基準日為111年11月25日。發行後將交付信託,五年之後,也就是2027年,再按事先講好的標準,針對兩類主管進行考評,進而發放股票。中信金股東會通過發行限制員工新股時曾表示,第一類為2026年12月31日仍然在職,且五年(2022至2026年)考績皆達成要求者;第二類為策略性關鍵職位人員,將按股東權益報酬率(ROE)、稅前盈餘、個人考績來計算。其中,ROE平均每年要9%,稅前盈餘平均每年要增加6%,如有未達成既得條件者,中信金將無償收回股票,並予以註銷。公司主管之前表示,過去中信金實施的員工持股計畫(ESOP)是用現金結算,公司的價值可用股價做代表,限制員工權利新股(RSA)是直接把股票給員工,RSA更有助於把員工獎酬跟公司價值、股價做連結。此次RSA五年計畫適用對象為處級以上幹部,包括處長、總處長、執行長、總經理等等,估計100人左右;不到處級的主管,若對公司未來五年營運有重要角色,經董事長同意也可適用。公司以今日收盤價22.44元概估,今年概估對營業費用增加2.3億元,五年合計對稅前盈餘影響數最高約19.54億元。延伸閱讀Sort by:Select The log-periodic antenna as known as LPDA is a wideband directional antenna that provides gain and directivity combined over a wide band of frequencies.
