為獎酬金控高階主管,中信金(2891)發行8萬7,085張員工限制新股,今(25)日下午輸入公開資訊觀測站公告增資基準日為訂為今日(11月25),以五年為期,若以今日收盤22.44元估算,對今年稅前盈餘影響數約在2.3億元,五年合計對稅前盈餘影響數約19.54億元。
金控業以「限制員工權利新股」做為員工獎酬工具,第一家為開發金(2883),中信金為第2家。中信金日前股東會通過將發行9萬張,今日董事會通過實際只發行8萬7,085張,增資基準日為111年11月25日。發行後將交付信託,五年之後,也就是2027年,再按事先講好的標準,針對兩類主管進行考評,進而發放股票。中信金股東會通過發行限制員工新股時曾表示,第一類為2026年12月31日仍然在職,且五年(2022至2026年)考績皆達成要求者;第二類為策略性關鍵職位人員,將按股東權益報酬率(ROE)、稅前盈餘、個人考績來計算。其中,ROE平均每年要9%,稅前盈餘平均每年要增加6%,如有未達成既得條件者,中信金將無償收回股票,並予以註銷。公司主管之前表示,過去中信金實施的員工持股計畫(ESOP)是用現金結算,公司的價值可用股價做代表,限制員工權利新股(RSA)是直接把股票給員工,RSA更有助於把員工獎酬跟公司價值、股價做連結。此次RSA五年計畫適用對象為處級以上幹部,包括處長、總處長、執行長、總經理等等,估計100人左右;不到處級的主管,若對公司未來五年營運有重要角色,經董事長同意也可適用。公司以今日收盤價22.44元概估,今年概估對營業費用增加2.3億元,五年合計對稅前盈餘影響數最高約19.54億元。延伸閱讀Sort by:Select

「咒」全台熱賣1億7千餘萬,金馬典禮上還特別安排主持人謝盈萱模仿片中的蔡亘晏,問她感覺如何?她答道:「有7、8分像,可是眉毛太濃了。」金馬入圍13項,「咒」抱回最佳剪輯、最佳音效雙獎,得到剪輯獎的正是柯孟融自己。他表示其實不覺得能得獎,朋友也要他得失心別太重,他都幫大家打氣,也順便打預防針,雖然沒拿到的獎都有點可惜,卻並沒失望,得到剪輯剪依舊很開心。

[周刊王CTWANT] 近期中國一起司法案件成為新聞話題焦點,一名男子在從事新媒體營運總監期間,月薪高達人民幣3萬元(折合新台幣約13萬元),但最後卻被公司發現謊報學歷而遭到解雇。雖然男子事後提出司法訴訟,認為公司違反《勞動合同法》。但最後,男子的訴求仍然遭到法院駁回。根據《網易新聞》報導指出,一名張姓男子先前在應徵新媒體營運總監的職務時,自稱是在南京當地某間大學畢業,最後男子順利拿下這份月薪高達人民幣3萬元的工作。但是在試用期間,雖然張男自認自己的能力與公司所要求的相差無幾,可面對公司數次催討畢業證書等相關文件,張男一直沒有拿出來。最後公司方面認為張男虛構學歷,所以將張男解聘。遭到解聘後的張男,認為公司解雇自己的理由並非是學歷,而自己工作上表現也沒有問題,甚至還超額完成公司的要求,認為公司只是不想支付自己薪水,所以才將自己解雇。最後張男主張公司「不看能力,只看學歷」,將公司告上法院。但在審理期間,法院發現,其實張男在應聘職務的當下,認為公司並沒有主動索討張男的學位證明,是一直到張男入職後,公司才向張男索要學歷證明。單是這個行為就可以認為「公司並沒有只重視學歷」,認定公司解聘張男的理由是因為張男的誠信問題,因此駁回張男的請求。原始連結看更多 CTWANT 文章
